Terms & Conditions
This document outlines the terms and conditions (“Terms”) governing the relationship between Daze Business, hereinafter referred to as the “Supplier,” and its business clients, hereinafter referred to as the “Buyer.” By placing an order, the Buyer agrees to be bound by these Terms.
1- Definitions
1.1 “Buyer” refers to the organization or individual purchasing Goods from the Supplier.
1.2 “Goods” denotes the articles supplied to the Buyer by the Supplier.
1.3 “Intellectual Property Rights” encompasses all patents, registered and unregistered designs, copyrights, trademarks, know-how, and all other forms of intellectual property enforceable globally.
1.4 “List Price” indicates the catalog of prices for the Goods maintained by the Supplier, subject to periodic amendments.
1.5 “Supplier” refers to [Company Name] in the business of manufacturing, selling, marketing, assembling and distributing all kinds of furniture under the brand name “Daze”
2. Orders and Acceptance
2.1 All orders from the Buyer must be submitted in writing via email, an online portal, or a signed purchase order. The order must contain all requisite details necessary for processing.
2.2 Orders are subject to acceptance by the Supplier, who reserves the right to reject any order based on product availability, pricing discrepancies, or other business considerations.
2.3 The Buyer must adhere to the minimum order quantity (MOQ) established by the Company for each product category. Orders falling below the MOQ may incur additional charges or be subject to rejection.
3. Pricing and Payment
3.1 Pricing: All prices quoted are exclusive of taxes, duties, and shipping and handling charges unless otherwise specified in writing.
3.2 Payment Terms: 50% deposit is required upon order confirmation, with the remaining 50% to be settled prior to shipment. Payment methods accepted include bank transfer & credit card.
3.3 Late Payments: A late payment fee of [2] % per month may apply to overdue balances. The Supplier reserves the right to withhold further deliveries or services until payment is received.
3.4 The price lists will be in “US Dollars” and may change based on market conditions in the supply countries. We reserve the right to adjust prices if there are major changes.
4. Delivery and Shipping
4.1 Delivery Terms: All deliveries of goods shall be made in accordance with the agreed Incoterms (e.g., EXW, FOB, CIF) specified in the purchase order or contract. Any specific delivery instructions provided by the Buyer must be confirmed in writing by the Supplier.
4.2 The Supplier will make every effort to deliver the Goods within the agreed timeframe; however, the Supplier shall not be held liable for any delays caused by circumstances beyond its control. Any delivery date provided is for informational purposes only and does not hold any contractual value.
4.3 Shipping Costs: Shipping expenses shall be the responsibility of the Buyer.
4.4 Risk and Title: The risk of loss transfers to the Buyer upon shipment of the Goods. Title to the Goods passes to the Buyer only upon receipt of full payment.
4.5 Partial Deliveries: The Supplier reserves the right to make partial deliveries, which may be invoiced separately. Delay in the delivery of one part of the order shall not entitle the Buyer to cancel any other part of the order.
4.6 Failure to Accept Delivery: If the Buyer fails to accept delivery on the agreed delivery date, the Supplier may:
§ Store the goods at the Buyer’s expense and risk; with a [2] % warehousing fee will be applied after two months.
§ Charge the Buyer for any additional transportation or handling costs incurred as a result of the failure to accept delivery.
5. Returns and Cancellations
5.1 No returns or refunds for goods that have been custom-produced or manufactured according to the buyer’s specifications.
5.2 Any changes to the orders are allowed within 7 days from the reception of the order confirmation
6. Product Warranty
6.1 The Supplier warrants that the goods supplied will be free from defects in material for a period of [2 years] from the date of delivery.
6.2 This warranty is limited to the replacement of defective Goods at the Supplier’s discretion and does not cover replacement or changing of parts due to breakage, excessive use, or the use of cleaning products harmful to fabrics, marble, and wood.
7. Claim Handling Clause
7.1 Notification of Claims: Any claims relating to the goods or services provided must be submitted in writing by the Buyer to the Supplier within “15” days of the delivery date. Failure to notify the Supplier within this period may result in the claim being deemed invalid.
7.2 Supporting Documentation: The Buyer must provide all relevant details and documentation supporting the claim, including but not limited to order details, delivery records, and evidence of the
issue (e.g., photos, reports). The Supplier reserves the right to request additional information if needed to properly assess the claim.
7.3 Inspection and Investigation: Upon receiving the claim, the Supplier will have the right to inspect the goods in question, either by visiting the Buyer’s premises or requesting that the goods be returned for evaluation. Costs of returning goods will be borne by the Buyer unless otherwise agreed.
7.4 Resolution of Claims: The Supplier will assess and respond to the claim within [5] days of receipt of all necessary documentation. Where a claim is deemed valid, the Supplier may, at its discretion, choose to:
§ Repair or replace the defective goods;
§ Issue a credit or refund for the goods, based on the original purchase price;
§ Offer another mutually agreed-upon remedy.
7.5 Exclusions: The Supplier shall not be responsible for claims arising from:
§ Improper use, handling, or storage of the goods by the Buyer;
§ Wear and tear due to normal usage;
§ Modifications or repairs made by the Buyer or third parties without the Supplier’s consent.
8. Liability
8.1 Limitation of Liability: The Supplier’s liability for any claims arising from or related to the Goods or services provided is limited to the amount paid by the Buyer for the relevant order.
8.2 Exclusion of Consequential Damages: The Supplier shall not be liable for any indirect, incidental, or consequential damages, including but not limited to loss of profits, business, or data.
9. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information disclosed during the course of the business relationship, including but not limited to pricing structures, trade secrets, and business strategies.
10. Force Majeure
The Supplier shall not be liable for any delay or failure to fulfill its obligations under these Terms due to events beyond its reasonable control, including but not limited to natural disasters, strikes, governmental actions, or disruptions in the supply chain.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of “Country”. Any disputes arising from these Terms shall be adjudicated in the courts located in “Country”.
12. Entire Agreement
These Terms constitute the entire agreement between the Supplier and the Buyer, superseding any prior agreements, understandings, or communications, whether oral or written. By placing an order, the Buyer acknowledges and agrees to abide by these B2B Retail General Terms and Conditions.
13. Acknowledgment
By placing an order with the Supplier, the Buyer confirms acceptance of these Terms and conditions.
